From Apple:
"In most cases, the sad iPod icon indicates a hardware issue. If you are able to force iPod into Disk Mode, then it may not be a hardware issue, and you should try to restore your iPod with the latest software."

There's some stuff to try here:

Good luck!

Default iPod with sad face

1st step: Try to restore with iTunes
2nd step: look for hard drive errors (bad sectors) with the free trial version of CopyTrans Doctor http://www.copytrans.net
3rd step: bring iPod to nearest Apple retailer

Default Big iPod problem

The apple should fix your problem by providing proper instruction which you can follow. Otherwise you can visit http://www.supportonclick.com if you want. I seek their support whenever I need. The staffs over there are quite helpful and extremely skilled to provide you necessary help at a very cheap rate if you share your problem with them. They are expert in solving a number of tricky jobs and I hope this time too they will prove their ability.
