one more thing... now that I will have (not so) new handset, wont the IMEI no change? If I want to show it to the apple guys, my bill will have a different IMEI than the phone!?

No difference. It will look like new and they are just as good as a new one, so don't worry about that. They are so strictly tested, that your odds of getting a defective new one is higher than a defective refurb.
